These Terms of Service ("Terms") are a binding agreement between you and Proxare LLC, a Wyoming limited liability company ("Proxare", "we", "us"). They govern your use of proxare.com and of the proxy services we sell (the "Services"). By creating an account, placing an order or using the Services, you agree to these Terms, our Acceptable Use Policy, our Refund Policy and our Privacy Policy. If you do not agree, do not use the Services.
1. Who can use the Services
You must be at least 18 years old and able to enter into a contract. If you use the Services for a company, you confirm that you are authorised to bind that company, and "you" includes it.
You may not use the Services if you are located in, or ordinarily resident in, a country or territory subject to comprehensive United States sanctions, or if you are on any United States government list of prohibited or restricted parties.
2. What we provide
Proxare resells access to residential and ISP proxy networks operated by third-party providers, and to proxy pools we source ourselves. Proxare is an independent reseller. We are not affiliated with, sponsored by or endorsed by the providers whose networks we resell, and their names are trademarks of their respective owners.
Network size, available locations, speed and success rates vary and depend on third parties and on the websites you access. We do not promise that the Services will work for any particular website or purpose.
3. Accounts
You are responsible for everything done through your account and for keeping your credentials confidential. Tell us at support@proxare.com without delay if you believe your account has been accessed without permission. We may ask you to verify your identity or explain your intended use before or after an order, and we may decline or cancel orders at our discretion.
4. Orders, prices and payment
- Prepaid. All Services are paid in advance. Prices are shown in U.S. dollars on our pricing page at the time of your order.
- Payment processing. Payments are processed by Stripe. We accept payment cards and, where available, stablecoin payments. We do not store full card numbers. Your use of a payment method is also subject to the terms of Stripe and of your payment provider.
- Taxes. Prices do not include sales tax, VAT, GST or similar taxes unless we say so. Where we are required to collect a tax, it is added at checkout. You are responsible for any other taxes that apply to your purchase.
- Residential packs. A pack gives you a fixed amount of data. It is valid for 30 days from the date of purchase. Unused data expires at the end of that period and is not refunded or carried over.
- ISP proxies. ISP proxies are sold per IP address for a term of one month from delivery. They end at the close of that term unless you renew.
- Delivery. Access details are delivered electronically to your account after your payment is confirmed. Nothing is shipped.
- Price changes. We may change prices at any time. Changes do not affect orders already paid for.
- Errors. If a price or description is obviously wrong, we may cancel the order and refund what you paid.
5. Refunds, disputes and chargebacks
Refunds are governed by our Refund Policy. If you have a billing problem, contact us first at support@proxare.com so we can resolve it. If you open a payment dispute or chargeback without contacting us, we may suspend your account while it is investigated, and we may close accounts used for unjustified disputes.
6. Acceptable use
You must follow our Acceptable Use Policy. You are solely responsible for how you use the Services, for the data you access or collect, and for complying with the laws that apply to you and with the terms of the websites and services you access.
7. Suspension and termination
We may suspend or terminate your access, with or without notice, if we reasonably believe you have breached these Terms or the Acceptable Use Policy, if your use puts the Services, our providers or other customers at risk, if a provider requires it, or if we are required to by law. If we terminate for breach, you are not entitled to a refund. You may stop using the Services at any time.
8. Third-party providers
The Services depend on networks and systems we do not control. Our providers may change, limit or discontinue their networks, and may require us to restrict or end service to a customer. If a provider discontinues a network you have paid for and we cannot supply a reasonable replacement, we will refund the unused part of your order as your sole remedy.
9. Intellectual property
We own the Proxare website, software and branding. We grant you a limited, revocable, non-transferable right to use the Services in line with these Terms. You may not resell the Services, or present them as your own, without our written consent.
10. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, PROXARE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY IP ADDRESS WILL BE ACCEPTED BY ANY WEBSITE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROXARE LLC, ITS MEMBERS, MANAGERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain exclusions or limits. In those jurisdictions, the exclusions and limits above apply only to the extent the law permits.
12. Indemnification
You will defend, indemnify and hold harmless Proxare LLC, its members, managers, employees and suppliers from any claim, loss, liability, penalty and expense (including reasonable attorneys' fees) arising from your use of the Services, your breach of these Terms or the Acceptable Use Policy, or your violation of any law or of the rights of a third party.
13. Governing law and venue
These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Proxare LLC agree that the state and federal courts located in the State of Wyoming have exclusive jurisdiction over any such dispute, and each of us consents to personal jurisdiction and venue in those courts.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PROXARE LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
Any claim must be brought within one year after it arises, unless applicable law does not allow that limit.
If you are a consumer living outside the United States, nothing in this section takes away mandatory protections that the law of your country of residence gives you.
14. Changes to these Terms
We may update these Terms. We will post the new version on this page and change the date below. If a change is material, we will also give notice by email or in your account. Changes apply to orders placed after the new version takes effect. Continuing to use the Services after that date means you accept the updated Terms.
15. General
- Entire agreement. These Terms and the policies they refer to are the entire agreement between you and us about the Services.
- Severability. If a provision is found unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of it.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Force majeure. We are not liable for failures caused by events beyond our reasonable control, including network or provider outages.
- Electronic communications. You agree to receive notices from us electronically, and that electronic notices satisfy any legal requirement that a notice be in writing.
- Survival. Sections 5 and 8 through 15 survive termination.
